Technical Support and Maintenance
1. Complimentary Support
SoftaLabs shall provide 15 (fifteen) days of complimentary technical support from the date of delivery of the website service.
This support includes website modifications and/or customizations strictly in line with the selected plan.
2. Scope of Support
The complimentary support period covers only minor modifications or adjustments necessary for smooth functioning as agreed under the selected plan.
Any request for substantial modifications, new features, design changes, or third-party integrations beyond the agreed scope shall not be considered under free support.
3. Post-Support Period
Upon completion of the 15-day complimentary support window, all subsequent modifications, updates, or customizations shall be chargeable.
Charges will be shared via formal quotation, which must be approved before execution.
4. Exclusions
The complimentary support does not cover:
Issues caused by unauthorized changes made by the Client or any third party.
Third-party software, plugins, or tools outside the control of SoftaLabs.
Terms & Conditions
1. Third-Party Registrations
We, SoftaLabs, will assist and support only with the domain and all other third-party registrations; however, the domain registration and payment will be made in the client’s name. Similarly, all other third-party registrations—such as for payment gateways, WhatsApp, SMS, etc.—will also be in the client’s name. We, SoftaLabs, shall provide software development, integration, and maintenance services only for the client’s respective services and products as listed in the corresponding subscription plans.
2. Intellectual Property
All intellectual property related to the software applications developed will remain the property of SoftaLabs.
Clients are granted a non-exclusive, non-transferable license to use the applications during their subscription period.
3. Liability
SoftaLabs will not be liable for any indirect, incidental, or consequential damages arising from the use of the services.
4. Service Level Agreement (SLA)
99.9% uptime.
Critical issues will be resolved within 24 hours, and non-critical issues within 72 hours.
5. Governing Law
This agreement shall be governed by and construed in accordance with the laws of India.
Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Kolkata, India.
6. Force Majeure
SoftaLabs shall not be responsible for delays or failures in performance due to unforeseen circumstances or causes beyond its control.
7. Modifications
SoftaLabs reserves the right to modify the terms of this agreement with a 30-day notice to the clients.
8. Confidentiality
All client data and proprietary information will be handled with the utmost confidentiality.
Commercial Terms
1. Billing Cycle
Monthly or annual billing options available.
Discounts available for annual subscriptions.
2. Payment Terms
Payments will be collected via UPI, Net Banking, Credit/Debit Card, and payment gateways like Razorpay.
Invoices will be generated on the first of each month with a 10-day payment period.
3. Termination and Refund Policy
Clients may terminate their subscription at any time with a 30-day notice.
No refunds will be issued for the remaining subscription period upon termination.
We reserve the right to terminate services for non-payment within 10 days of invoice generation.
4. Confidentiality
All client data and proprietary information will be handled with the utmost confidentiality.
